1. Agreement to these terms
These Terms of Service ("Terms") govern your access to and use of GridMail (the "Service"), operated by GridMail. By creating an account or using the Service, you agree to these Terms. If you're using GridMail on behalf of a company, you're agreeing on that company's behalf and confirming you have the authority to do so.
2. The service
GridMail helps recruiters and staffing professionals research prospects, generate personalized outreach drafts, and send email sequences from their own connected Gmail or Google Workspace account, stopping automatically when a prospect replies.
3. Accounts and eligibility
You must be at least 18 years old and able to form a binding contract to use GridMail. You're responsible for keeping your account credentials secure and for all activity under your account. Tell us right away if you suspect unauthorized use.
4. Acceptable use
GridMail sends email from your own inbox on your behalf, so you're responsible for how you use it. By using the Service, you agree that you will:
- Only contact prospects you have a legitimate business reason to reach, and comply with applicable anti-spam law, including the CAN-SPAM Act and equivalent laws in your jurisdiction.
- Include accurate sender information and honor unsubscribe requests, consistent with our Unsubscribe Policy.
- Not upload prospect lists obtained through scraping in violation of a website's terms, data breaches, or other unlawful means.
- Not use GridMail to send unlawful, deceptive, harassing, or discriminatory content.
- Not attempt to circumvent sending limits designed to protect deliverability and your sender reputation.
- Not use the Service to send content that infringes someone else's intellectual property rights.
5. Subscriptions and billing
GridMail is offered on a subscription basis with the plans described on our pricing page. New accounts start with a trial period as described at signup. After the trial, your subscription renews automatically at the then-current rate unless you cancel. You can cancel at any time from your account settings; cancellation takes effect at the end of your current billing period, and we don't provide refunds for partial periods except where required by law.
6. Your data
You own the prospect data you upload and the content of the emails you send. We process it only to provide the Service to you, as described in our Privacy Policy. You're responsible for having the rights necessary to upload and use that data through GridMail.
7. Third-party integrations
GridMail connects to your Gmail or Google Workspace account through official APIs. Your use of those providers is governed by their own terms, and GridMail isn't responsible for their availability, changes, or policies. If a provider restricts or revokes access, some or all of the Service may stop working until reconnected.
8. Intellectual property
GridMail and its underlying software, design, and branding are owned by GridMail and protected by intellectual property law. These Terms don't grant you any rights to our trademarks, logos, or brand assets beyond what's needed to use the Service normally.
9. Disclaimer of warranties
The Service is provided "as is" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't guarantee that email you send will be delivered, opened, or replied to, or that any particular business outcome will result from using GridMail.
10. Limitation of liability
To the maximum extent permitted by law, GridMail will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve months before the claim arose.
11. Indemnification
You agree to indemnify and hold GridMail harmless from claims, damages, and expenses arising from your use of the Service in violation of these Terms or applicable law, including claims arising from the content you send or the prospect data you upload.
12. Termination
You may stop using GridMail and cancel your account at any time. We may suspend or terminate your access if you violate these Terms, including the acceptable use section, or if required by law. On termination, your right to use the Service ends, though sections of these Terms that by their nature should survive will continue to apply.
13. Governing law
These Terms are governed by the laws of the jurisdiction in which GridMail is established, without regard to conflict-of-law principles, unless applicable law requires otherwise.
14. Changes to these terms
We may update these Terms from time to time. If we make material changes, we'll notify you by email or through the app before the changes take effect. Continuing to use GridMail after changes take effect means you accept the updated Terms.
